NGO registration

NGO registration in Uttarpradesh stands for Non-Governmental Organization. It refers to any organization that is not a part of the government and operates independently to serve a specific social or economic purpose. NGOs can be registered as a trust, society, or a non-profit company.

The process of registering an NGO varies depending on the country and type of registration. In general, it involves submitting an application with necessary documentation, such as articles of incorporation and proof of charitable status, to the relevant government agency. The agency will then review the application and may require additional information or documentation before granting registration.

There are various types of NGOs, such as charitable organizations, advocacy groups, and community-based organizations. Each type serves a specific purpose and may have different registration requirements.

The main advantages of registering an NGO include:

  • Ability to enter into contracts
  • Tax exemptions

  • Society Registration

Non-Governmental Organizations (NGOs) play a critical role in Indian society by addressing social, economic, and environmental issues. In India, NGOs can be registered as Trusts, Societies, or Section 8 Companies, each with its unique set of rules and regulations. In this blog, we will discuss the process of NGO registration in India.

Step 1: Choose a Name for the NGO

The first step in registering an NGO is to choose a name. The name should be unique and not similar to any existing company or trademark. You can check the availability of the name on the Ministry of Corporate Affairs (MCA) website.

 Step 2: Draft the Constitution of the NGO

The next step is to draft the constitution of the NGO, also known as the Memorandum of Association (MOA) or the Bye-Laws. The constitution should outline the objectives, rules, and regulations of the NGO.

Step 3: Choose the Type of NGO

There are three main types of NGOs in India: Trusts, Societies, and Section 8 Companies. Choose the type that best fits your needs and objectives.

Step 4: Obtain Digital Signature Certificates (DSCs)

All the office bearers of the NGO must obtain Digital Signature Certificates (DSCs). The DSCs are required to sign the documents submitted to the Registrar of Societies or the Registrar of Companies, as the case may be.

Step 5: Register the NGO

Once you have completed the above steps, you can register the NGO with the relevant authorities. For Trusts, the registration is done with the Charity Commissioner’s Office. For Societies, the registration is done with the Registrar of Societies. For Section 8 Companies, the registration is done with the Registrar of Companies.

Step 6: Obtain PAN and TAN

The NGO must obtain a Permanent Account Number (PAN) and a Tax Deduction and Collection Account Number (TAN) from the Income Tax Department.

Step 7: Open a Bank Account

Once you have obtained the PAN and TAN, you can open a bank account in the name of the NGO. This will be used for transactions related to the NGO.

Step 8: Obtain FCRA Registration (if applicable)

If the NGO intends to receive foreign contributions, it must obtain registration under the Foreign Contribution Regulation Act (FCRA). The application for FCRA registration must be submitted to the Ministry of Home Affairs.

Step 9: File Annual Returns

The NGO must file annual returns with the Registrar of Societies or the Registrar of Companies, as the case may be, and with the Ministry of Home Affairs in the case of FCRA-registered NGOs.

b. Articles of Association (for a Section 8 Company): This document defines the purpose, regulations, and management structure of the organization.

c. Board Resolution: A board resolution is required to authorize key individuals to sign and submit the registration documents on behalf of the NGO.

d. Address Proof: You need to provide a valid address proof for the NGO’s registered office.

e. Identity Proof: Identity proof, such as PAN cards or Aadhaar cards, of all the members or trustees involved in the organization.

Step 4: Draft the Bylaws and Governing Documents For societies and trusts, it is important to draft the bylaws or rules and regulations that govern the functioning of the organization. The bylaws should include details about membership, governing body structure, decision-making processes, and financial management.

Step 5: Register the NGO To register your NGO in Uttar Pradesh, follow these steps:

a. Society Registration: If you choose to register as a society, submit the application along with the required documents to the District Registrar or the Registrar of Societies. Pay the applicable fees and obtain a registration certificate.

b. Trust Registration: For trust registration, submit the application along with the required documents to the Sub-Registrar or the Registrar of Trusts in your district. Pay the prescribed fees and obtain the trust registration certificate.

c. Section 8 Company Registration: If you opt for a Section 8 Company, apply for name approval with the Registrar of Companies (RoC). Once the name is approved, prepare and file the Memorandum and Articles of Association with the RoC. Obtain the Certificate of Incorporation upon successful registration.

Step 6: Apply for Tax Exemptions After the NGO registration is complete, you can apply for tax exemptions under sections 12A and 80G of the Income Tax Act. These exemptions provide tax benefits to donors and enable your organization to receive tax-deductible donations.

Step 7: Maintain Proper Books of Accounts Ensure that your NGO maintains accurate financial records and complies with the accounting and auditing requirements as per the laws governing NGOs. Prepare annual financial statements and file annual returns with the appropriate authorities.
